From Wikipedia, the free encyclopedia Jump to navigationJump to search A virtual data room (sometimes called a VDR or Deal Room) is an online repository of information that is used for the storing and distribution of documents. In many cases, a virtual data room is used to facilitate the due diligence process during an M&A transaction, loan syndication, or private equity and venture capital transactions. This due diligence process has traditionally used a physical data room to accomplish the disclosure of documents. For reasons of cost, efficiency and security, virtual data rooms have widely replaced the more traditional physical data room.[1][2] A virtual data room is an extranet to which the bidders and their advisers are given access via the internet. An extranet is essentially a website with limited controlled access, using a secure log-on supplied by the vendor, which can be disabled at any time, by the vendor, if a bidder withdraws. Much of the information released is confidential and restrictions are applied to the viewer's ability to release this to third parties (by means of forwarding, copying or printing). This can be effectively applied to protect the data using digital rights management.[3] The virtual data room provides access to secure documents for authorized users through a dedicated web site, or through secure agent applications. In the process of mergers and acquisitions the data room is set up as part of the central repository of data relating to companies or divisions being acquired or sold. The data room enables the interested parties to view information relating to the business in a controlled environment where confidentiality can be preserved. Conventionally this was achieved by establishing a supervised, physical data room in secure premises with controlled access. In most cases, with a physical data room, only one bidder team can access the room at a time. A virtual data room is designed to have the same advantages as a conventional data room (controlling access, viewing, copying and printing, etc.) with fewer disadvantages. Due to their increased efficiency, many businesses and industries have moved to using virtual data rooms instead of physical data rooms. In 2006, a spokesperson for a company which sets up virtual deal rooms was reported claiming that the process reduced the bidding process by about thirty days compared to physical data rooms.[4]

It may also be described as a type of electronic repository or document filing system. With the ubiquitous reliance on computers and specialized software to keep a business running smoothly, coupled with the fact that more and more companies are making the transition to a completely paperless office, many of the previously document-heavy operational practices have been shifted to the virtual realm. For financial transactions, virtual data room software has become the norm, replacing the once-ubiquitous physical data rooms. Physical data rooms had their limitations and were time consuming and inconvenient for the parties involved. With the advancement of online security (which is of paramount importance to virtual data rooms), the physical data room became an outdated concept, being replace with a virtual deal room, where companies could share due diligence information securely and from anywhere in the world. The most common uses of VDRs are listed below:

CORPORATE FINANCE & ACCOUNTING MERGERS & ACQUISITIONS A virtual data room (VDR), also known as a deal room, is a secure online repository for document storage and distribution. It is typically utilized during the due diligence process preceding a merger or acquisition to review, share, and disclose company documentation.  Understanding Virtual Data Rooms Virtual data rooms have increasingly replaced physical data rooms traditionally used to disclose and share documents. With the globalization of business and increased scrutiny to reduce costs, virtual data rooms are an attractive alternative to physical data rooms. Virtual data rooms are widely accessible, immediately available, and more secure. As security concerns grow and incidents with breaches increase, VDR providers are developing more sophisticated and reliable databases. Initial public offerings (IPOs), auditing operations, and partnerships or other businesses who must work jointly and share information will use virtual data rooms. Mergers and acquisitions (M&A) procedures are the most common use of VDRs. These repositories provide a place for the due diligence needed during the finalization of the deal. These business transactions involve large amounts of documents, many of which are confidential and contain sensitive information. Using a VDR is a safe and reliable way for all interested parties to review and exchange documents as they engage in negotiations. Businesses often work with one another to produce and manufacture products during the construction of a building and to offer services. Forming and maintaining these business relationships requires contracts and the frequent transmission of data. Virtual data rooms provide for the storage of these contracts and make readily available documents needed for the continuance of business partnerships. As an example, changes made to the blueprints of a structure by an engineer are immediately available to all contractors involved in the project.
